Public offer (terms of service)

This document is a public offer by sole proprietor full name / LLC "Name" (the Provider) to conclude an agreement for the services of umatter (Важливі) on the terms below.

1. Definitions

  • Service — the website umatter.com.ua and the application my.umatter.com.ua through which the Provider delivers its services.
  • Customer — an individual, sole proprietor or legal entity that has accepted this offer.
  • Recipient — the person to whom a bouquet is handed over on the Customer's instruction.
  • Event — a birthday, work anniversary, holiday or other date the Customer has added to the Service.
  • Delivery — choosing a bouquet (with a card, if requested) and handing it over to the Recipient.
  • Personal mode — the mode for individuals, in which each Delivery is carried out only after the Customer approves it.
  • Business mode (autopilot) — the mode for companies, in which Deliveries are approved in advance.

2. Acceptance and conclusion of the agreement

2.1. This offer is a public agreement and an agreement of adhesion under Articles 633, 634 and 641 of the Civil Code of Ukraine.

2.2. The offer is accepted by registering in the Service and/or paying for a Delivery (Article 642 of the Civil Code of Ukraine). From acceptance, the agreement is deemed concluded in electronic form under the Law of Ukraine "On Electronic Commerce".

2.3. By accepting the offer, the Customer confirms having read and agreed to its terms and to the Privacy policy.

3. Subject of the agreement

3.1. The Provider reminds the Customer of Events, chooses bouquets and delivers them to Recipients; the Customer pays for each completed Delivery.

3.2. The bouquet is chosen for the amount selected by the Customer. The Provider may replace individual flowers with equivalent ones depending on seasonal availability, keeping the style and value of the bouquet.

4. How the Service works

4.1. Personal mode. Fourteen days before an Event, the Customer receives a reminder with the chosen bouquet. The Delivery is carried out only after the Customer approves it. If the Customer skips or does not approve a Delivery, it is not carried out and nothing is charged.

4.2. Business mode. The Customer adds employees, their Events and an amount per person. Each Delivery is approved by default. The Customer may cancel an individual Delivery no later than 3 business days before the Event. The Customer is notified of every scheduled and completed Delivery.

4.3. On request, a card with the Customer's text is added to the bouquet. The Provider does not edit the card's content but may refuse text that breaks the law or infringes the rights of others.

5. Price and payment

5.1. One Delivery costs 1,500, 2,500 or 3,500 hryvnias, depending on the amount selected by the Customer. Delivery included in the price or charged separately — to confirm.

5.2. There is no subscription or fee for using the Service.

5.3. The price of a Delivery is shown to the Customer before approval. In Personal mode, payment is taken only after the Delivery is approved.

5.4. Payment is made by bank card via payment provider. The Provider does not receive or store full card details. Companies may pay by invoice on terms to confirm.

6. Delivery

6.1. Deliveries are made within Kyiv and Kharkiv on the day of the Event, 9:00–20:00.

6.2. If the Recipient is not at the address, the courier contacts them by the phone number provided. If the bouquet cannot be handed over, procedure — same-day redelivery or handover to colleagues or family by agreement — to confirm.

6.3. During an air-raid alert, delivery is paused and resumes after the all-clear. If this changes the delivery time, the Provider notifies the Customer.

7. Cancellation and refunds

7.1. In Personal mode, the Customer may skip or cancel a Delivery before approving it at no cost. After approval, cancellation is possible no later than 24 hours before the Delivery, with a refund.

7.2. Fresh flowers are perishable goods. Bouquets of proper quality are not subject to exchange or return under Ukrainian consumer protection law.

7.3. Quality claims are accepted within 24 hours of delivery, with a photo, at hello@umatter.com.ua. If a claim is justified, the Provider replaces the bouquet or refunds the payment.

7.4. Refunds are made by the original payment method within 7 banking days.

8. Rights and obligations

8.1. The Customer provides accurate details about themselves and Recipients and keeps them up to date.

8.2. The Customer warrants that they have the right to share Recipients' personal data with the Provider (and, in Business mode, employees' data) and that these people have been informed.

8.3. The Provider sends reminders and notifications, carries out approved Deliveries on time and ensures the quality of bouquets.

8.4. The Provider may decline a Delivery if the details provided are incomplete or inaccurate, refunding any payment for it.

9. Liability

9.1. The parties are liable in accordance with the laws of Ukraine.

9.2. The Provider is not liable for failed handovers caused by the Customer or Recipient: a wrong address, the Recipient's absence or refusal of the bouquet.

9.3. The parties are released from liability for failure to perform due to force majeure, including hostilities, air-raid alerts and prolonged power outages. The affected party notifies the other as soon as possible.

10. Personal data

The Provider processes personal data in accordance with the Law of Ukraine "On Personal Data Protection" and the Privacy policy.

11. Term and changes

11.1. The agreement is valid from acceptance until the Customer's account is deleted.

11.2. The Provider may change the terms by publishing a new version on this page. Changes do not apply to Deliveries already approved or paid for.

12. Disputes

Disputes are resolved by negotiation and, failing agreement, in court under the laws of Ukraine.
